Agreement to these Terms

These Terms & Conditions govern your use of filmdrafts.com and your purchase or use of FilmDrafts professional services, digital products, secure sample access and any client Workspace functionality that FilmDrafts makes available.

By using the website, submitting an order or accepting a proposal, quote, invoice, engagement document or other FilmDrafts offer, you agree to the terms that apply to that transaction. If a signed proposal, MOU, NDA or project-specific agreement conflicts with these Terms, the project-specific document controls for that subject matter.

Eligibility and authority

You must be legally capable of entering a binding agreement. If you act for a production company, organization, investor group or other entity, you confirm that you are authorized to act on its behalf and to provide the materials and instructions you submit to FilmDrafts.

Services, inquiries and proposals

FilmDrafts provides professional film-development, pre-production, budgeting, scheduling, business-planning, investor-package and financial-modeling services, along with related digital products and resources. Website descriptions are general and do not guarantee that every feature or deliverable is included in every engagement.

An inquiry or request for a quote is not itself an order. FilmDrafts may review the project and then provide a proposal or scope setting out the specific deliverables, fees, assumptions, timeline, revision terms and client responsibilities. Work begins when the applicable engagement is accepted and any required initial payment or other agreed condition is satisfied.

Confidentiality, NDA and MOU

FilmDrafts understands that scripts, budgets, schedules, business plans, financial models, investor materials and other project information can be confidential. An NDA may be signed before confidential project review when requested or agreed. The NDA governs confidentiality and does not by itself require either party to purchase or perform services unless it expressly says otherwise.

After reviewing a project, FilmDrafts may provide a proposal describing the services it can offer. If the parties also want an MOU or other engagement document, that can be agreed separately. The terms of an executed NDA, MOU or project-specific agreement control the obligations covered by that document.

Client responsibilities

You are responsible for providing accurate, complete and timely information needed for the work, including current script versions, production assumptions, locations, union or guild assumptions, financing information and other project inputs that affect FilmDrafts deliverables.

You confirm that you have the rights and permissions needed to provide FilmDrafts with materials, personal information and third-party content submitted for the engagement. You are responsible for reviewing drafts, asking questions and providing approvals or corrections within a reasonable time.

Fees, payment and card processing

Fees, currency, taxes if applicable and payment timing are shown in the relevant product page, proposal, invoice, checkout or engagement document. FilmDrafts may offer full payment, an initial payment, or project-specific milestone payments depending on the service and engagement.

Where a card checkout is offered, payment is processed by the third-party payment provider presented at checkout. FilmDrafts does not need or intend to store full card numbers or CVV data. A browser confirmation alone does not override the payment status recorded by the payment provider or FilmDrafts billing records.

If checkout offers a 25% initial payment to begin an eligible service, that payment is treated as the upfront commitment for the engagement and is non-refundable except where a refund is required by applicable law or expressly agreed in writing.

Service cancellation and refunds

• Initial/upfront payment: the initial payment reserves production capacity, covers onboarding and commencement of professional work, and is non-refundable once paid, except where law requires otherwise or FilmDrafts expressly agrees in writing.
• Future unpaid stages: before a later project stage or milestone is paid, the client may choose not to proceed with that future stage unless a signed engagement requires otherwise. No refund is needed for an amount that has not been paid.
• Paid stages already started: once a later stage or milestone has been paid and FilmDrafts has started or committed resources to that stage, any refund will be determined in light of work already performed, deliverables already provided, non-recoverable commitments and the specific engagement terms. Earned amounts are not refundable.
• After delivery: completed or delivered professional work is not normally refundable. Where a deliverable has a genuine error within the agreed scope, the appropriate remedy is normally correction or an included revision rather than cancellation of completed work.

Nothing in this section removes any non-waivable consumer right that applies by law.

Downloadable products and digital resources

Digital products are licensed, not sold for resale. Unless a product page states otherwise, a purchase gives the buyer a non-exclusive right to use the purchased files for the buyer's own professional or production purposes. You may not resell, redistribute, publish, sublicense or commercially share FilmDrafts templates, databases, tools or downloadable files as a competing product.

Because digital files can be copied or retained after access, downloadable product purchases are generally final and non-refundable once the download or access has been made available. FilmDrafts may provide a replacement, correction or other reasonable remedy for a duplicate charge, a verified technical access problem that cannot be resolved, or where applicable law requires a refund.

Timelines, client delays and revisions

Delivery dates are based on the scope, project information and response schedule agreed at the start of the work. If required information, files, approvals or feedback are delayed, FilmDrafts may pause or reschedule the work and corresponding delivery dates will move accordingly.

Revisions are limited to the number and type stated in the proposal, product description or project-specific agreement. A revision is not a new project scope. Material changes to a script, budget level, financing structure, production location, delivery requirement or previously approved assumptions may require a revised quote, additional fee or new milestone before further work begins.

Client Workspace and accounts

If FilmDrafts makes a client Workspace available, access may include project requirements, messages with an assigned Project Manager, secure files, deliveries, revisions, milestones, invoices, receipts and payment history. Workspace access may be provided before or after payment depending on the engagement.

You are responsible for keeping account credentials confidential and for activity performed through your authorized account. You must not attempt to access another client's project, internal team data, administrative controls or files that have not been made available to you. FilmDrafts may suspend access where reasonably necessary to protect clients, accounts, confidential materials or the service.

Files, deliveries and project records

Client files and FilmDrafts deliveries may be exchanged by approved email, secure link, third-party delivery method or Workspace feature made available for the engagement. You are responsible for maintaining your own copies of final files after delivery.

FilmDrafts may maintain project, communication, delivery and billing records for operational, support, legal and accounting purposes. Confidential file access may be restricted or time-limited for security.

Intellectual property and deliverable rights

You retain ownership of the original project materials you provide to FilmDrafts. FilmDrafts retains ownership of its pre-existing templates, systems, methodologies, know-how, calculations, reusable frameworks, internal tools and intellectual property that existed independently of your engagement.

Rights in custom deliverables are governed by the applicable proposal or engagement document. Unless that document says otherwise, after full payment FilmDrafts grants the client a right to use the final paid deliverables for the commissioned project and related financing, production or presentation purposes. FilmDrafts proprietary tools, underlying reusable systems and general know-how are not transferred merely because they were used to produce a deliverable.

FilmDrafts will not publicly use identifiable confidential client materials as portfolio or sample work without authorization or another valid right to do so.

Budgets, models and professional judgment

Budgets, schedules, financial models, business plans, incentive analyses, investor materials and other FilmDrafts outputs depend on assumptions, information supplied by the client, market conditions and third-party rules that can change. They are planning and decision-support materials, not guarantees of cost, financing, profitability, investor response, incentive eligibility or project performance.

FilmDrafts does not provide legal advice, investment advice, regulated financial advice or a guarantee of tax treatment. Clients should obtain independent legal, tax, accounting, financing or regulatory advice where needed for the project.

Third-party services and links

FilmDrafts may use or link to third-party services for payments, digital delivery, communication, storage, scheduling, analytics or other business functions. Those services may have their own terms and privacy policies. FilmDrafts is not responsible for a third party's independent acts, outages, policies or content, but will take reasonable steps to manage the FilmDrafts side of the service relationship.

Acceptable use

You must not misuse the website, secure samples, accounts, downloadable products or Workspace features. Prohibited activity includes unauthorized access, credential sharing, scraping confidential areas, bypassing access controls, introducing malicious code, infringing intellectual property, redistributing protected files, impersonation, fraud or using FilmDrafts systems for unlawful activity.

Referral participation, giveaways or other programs may also be subject to separate eligibility, approval or program-specific terms.

Service availability and warranties

FilmDrafts aims to provide professional services and reliable website functionality, but the website, digital tools and online features may occasionally be unavailable, updated or affected by third-party infrastructure. To the fullest extent permitted by law, online services are provided without warranties that every feature will be uninterrupted, error-free or suitable for every purpose.

Project-specific quality, scope and revision commitments are those stated in the applicable proposal or engagement document.

Limitation of liability

To the fullest extent permitted by applicable law, FilmDrafts is not liable for indirect, incidental, special, exemplary or consequential losses, or for loss of profits, financing opportunity, investor interest, production opportunity, reputation or data arising from use of the website, products or services.

To the fullest extent permitted by law, FilmDrafts' aggregate liability arising from a specific paid service or product will not exceed the amount actually paid to FilmDrafts for the specific service or product giving rise to the claim. These limitations do not apply where liability cannot lawfully be excluded or limited.

Client responsibility for submitted materials and claims

You are responsible for claims arising from materials or instructions you provide where you did not have the necessary rights, permissions or authority, or where your use of FilmDrafts deliverables violates law or third-party rights. This does not require you to indemnify FilmDrafts for FilmDrafts' own unlawful conduct or obligations that cannot be shifted under applicable law.

Events outside reasonable control

Neither party is responsible for delay or failure caused by events reasonably outside its control, including major service outages, natural disasters, war, government restrictions, labor disruption, widespread network failures or other force-majeure events. The affected party should resume performance as reasonably practical when the event ends.

Suspension and termination

FilmDrafts may suspend or terminate website, account or service access for material breach, non-payment of an amount currently due, fraud, security risk, unlawful conduct or misuse of protected materials. Where reasonable, FilmDrafts will provide notice and an opportunity to resolve the issue.

Termination does not erase payment obligations, confidentiality duties, intellectual-property restrictions or other provisions that by their nature should continue after the engagement ends.

Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-law principles.

Subject to any mandatory rights that cannot lawfully be excluded, the courts of Dubai, United Arab Emirates will have exclusive jurisdiction over disputes arising from these Terms or the FilmDrafts website, products or services. Before filing formal proceedings, the parties should first make a reasonable attempt to resolve the dispute directly.

General terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision immediately does not waive the right to enforce it later. You may not transfer an engagement or account to another party without FilmDrafts' consent where the transfer would affect confidentiality, payment, access or performance.

FilmDrafts may update these Terms to reflect changes in services, products, payment methods, Workspace features or legal requirements. The version posted when you enter a transaction applies unless a later version is accepted or a project-specific agreement says otherwise.
